Terms
These terms describe website use and the framework for MatosPay merchant services.
Payment approved$2,480.00 settledMerchant services terms. These Terms of Use and Merchant Services Terms govern access to MatosPay websites, digital properties, and merchant-services experiences, together with the agreements and schedules that apply to an account.
Last updated: September 25, 2026. Effective date: September 25, 2026.
1. Agreement and scope
These Terms govern access to MatosPay websites, digital properties, content, forms, tools, and any MatosPay service that links to them. “MatosPay,” “we,” “us,” and “our” mean the MatosPay legal entity identified in the final agreement. “You” and “your” mean the individual accessing the property and the business or organization that individual represents. If you access the property for a business, you represent that you have authority to bind that business.
These Terms include the website rules in this document and any order form, proposal, pricing schedule, merchant application, processing agreement, data-processing addendum, program guide, acceptable-use policy, equipment schedule, support policy, or partner terms expressly incorporated by reference. If documents conflict, the signed merchant or processing agreement controls for the services it covers, then the applicable order form or program guide, then these Terms, unless the controlling document says otherwise.
If you do not agree, do not use the website, submit an inquiry, create an account, download materials, connect an integration, or request services. MatosPay may revise these Terms prospectively by posting an updated version or providing another permitted notice. Your continued use after the effective date of a change constitutes acceptance for future activity, except where a separate agreement or applicable law requires affirmative consent.
2. Eligibility and authority
MatosPay services are intended for legitimate businesses and authorized business representatives. You must be able to enter a binding contract under applicable law, provide accurate information, and have authority to act for the business identified in an inquiry or application. MatosPay may refuse service, delay a review, require additional information, restrict functionality, or terminate access if it cannot verify identity, authority, ownership, beneficial owners, business activity, location, or compliance status.
You may not use MatosPay services if doing so would violate a law, regulation, payment-network rule, sanctions restriction, partner requirement, court order, or contractual obligation. A person acting for a business must promptly update MatosPay when authority ends, ownership changes, the business changes its products or sales channels, or information previously supplied is no longer accurate.
3. Website content and preliminary inquiries
Website content is provided for general business information and planning. A displayed rate, example, feature, integration, network, timeline, capability, or statement about approval is illustrative unless a signed document says otherwise. An inquiry is not an application, approval, offer, credit decision, merchant account, guarantee of funding, or promise that a product will be available. MatosPay may change pricing, features, partner relationships, availability, onboarding requirements, or implementation timelines at any time before a binding agreement is signed.
Pricing examples may exclude pass-through charges, assessment fees, network fees, hardware, taxes, chargeback fees, disputes, refunds, ACH or bank-transfer charges, recurring-billing costs, foreign-exchange costs, reserves, risk adjustments, optional products, and other amounts described in a final quote. A merchant must review the final schedule and written terms before accepting processing services. No employee or website page can waive a written condition unless an authorized MatosPay representative signs a written amendment.
4. Merchant application, underwriting, and approval
To request services, you may need to provide legal entity information, ownership and control information, identity documents, tax information, bank information, processing history, product or service descriptions, fulfillment details, websites, advertising, invoices, licenses, financial information, expected volume, average ticket, refund practices, and other information requested by MatosPay or a processing partner. You authorize MatosPay and its partners to verify that information, contact references, conduct fraud and sanctions screening, obtain business or consumer reports where permitted, and communicate with financial institutions or other sources for legitimate underwriting and compliance purposes.
You must not omit material facts, submit misleading information, use another person’s identity, misrepresent products, obscure ownership, route prohibited transactions through another business, or submit an application for an activity that is materially different from the activity you intend to conduct. Approval may be conditional, limited by volume or product, subject to a reserve, or withdrawn if information changes or a partner cannot support the activity.
MatosPay may use independent processors, acquirers, payment facilitators, banks, gateways, verification vendors, fraud providers, and other partners. A partner may make the final approval, decline, risk, reserve, settlement, or termination decision. MatosPay does not guarantee a partner’s decision, timing, funding, availability, or continued participation.
5. Payment processing and merchant responsibilities
If services are activated, you are responsible for using them only for the approved business, approved goods or services, approved channels, and approved locations. You must provide customers clear descriptions, prices, billing terms, cancellation terms, refund policies, delivery expectations, recurring-payment disclosures, and contact information. You must obtain any consent required for recurring charges, stored payment credentials, marketing, text messages, calls, electronic records, and data processing.
You are responsible for ensuring that each transaction is genuine, authorized, accurately described, properly submitted, and consistent with the customer’s agreement. You must not split transactions to avoid limits, submit transactions for cash advances or prohibited goods, process for another merchant, manipulate transaction dates, use a customer’s card without authorization, retain prohibited authentication data, or create false credits. You must cooperate with retrieval requests, disputes, chargebacks, fraud investigations, compliance reviews, and requests for documentation.
Customers may dispute a transaction, request a refund, or assert rights against you. MatosPay or a partner may debit your account, withhold funds, establish or increase a reserve, delay settlement, reverse a transaction, or require additional security when permitted by the agreement, network rules, law, or a reasonable risk determination. A successful authorization does not guarantee settlement, and settlement does not prevent a later reversal, dispute, chargeback, refund, or adjustment.
6. Fees, taxes, reserves, and amounts owed
You must pay the fees stated in the applicable pricing schedule, order form, partner agreement, or other written terms. Fees may include percentage rates, per-transaction fees, monthly fees, equipment fees, gateway fees, setup fees, statement fees, dispute fees, chargeback fees, refund fees, ACH or bank-transfer fees, network or pass-through costs, foreign-exchange charges, taxes, regulatory assessments, and other disclosed charges. Public pricing information is not a substitute for the fee schedule that applies to your account.
You authorize MatosPay and its processing partners to debit approved settlement accounts or otherwise collect amounts owed. If an account has insufficient funds, you remain responsible for the unpaid amount and reasonable collection costs allowed by law. MatosPay may offset amounts owed against future settlements or other amounts it holds. Taxes are your responsibility unless a written document states that MatosPay must collect them. You should obtain independent tax advice about your business and transactions.
A reserve may be required to protect against chargebacks, refunds, fraud, insolvency, delayed delivery, regulatory exposure, or other risks. A reserve may be rolling, fixed, delayed, or otherwise structured in the applicable agreement. Funds subject to a reserve, hold, review, or dispute are not necessarily available for withdrawal. Release timing depends on the agreement, risk assessment, partner rules, and resolution of the exposure.
7. Equipment, integrations, and third parties
Hardware, software, hosted checkout, payment links, plugins, APIs, terminals, mobile devices, and integrations may be supplied or controlled by MatosPay or a third party. Availability, compatibility, support, warranties, updates, security, and replacement obligations must be confirmed in the applicable schedule. You are responsible for approved installation, physical protection, power, network access, device configuration, staff training, and preventing unauthorized access.
Third-party services may have separate terms and privacy notices. A change, outage, suspension, defect, security incident, or termination by a third party may affect the MatosPay service. MatosPay may substitute a comparable provider, require a configuration change, or suspend an integration when reasonably necessary for security, compliance, reliability, or partner requirements. MatosPay is not responsible for a third party’s independent acts or omissions except to the extent a signed agreement expressly says otherwise.
8. Security, credentials, and incident cooperation
You must protect usernames, passwords, API keys, tokens, terminals, devices, recovery codes, and other credentials. Do not share credentials, store secrets in public repositories, bypass access controls, install unapproved payment software, or permit unauthorized persons to use a merchant account. You must maintain reasonable security for your websites, devices, employees, networks, integrations, and physical locations.
You must promptly notify MatosPay through an approved channel of suspected credential compromise, unauthorized access, lost equipment, malware, fraud, data exposure, tampering, unusual transactions, or a security incident that could affect MatosPay, a partner, or a customer. You must preserve evidence, cooperate with investigation, isolate affected systems when directed, reset credentials, assist with customer or regulator communications, and follow the incident-response instructions in the applicable agreement.
Payment-card security obligations are shared. A merchant must follow the security responsibilities assigned to it and any applicable payment-brand or PCI requirements. Outsourcing a payment function may reduce the merchant’s technical scope but does not automatically eliminate every merchant obligation. MatosPay does not promise that any merchant or partner environment is immune from attack.
9. Acceptable use and prohibited activity
You may use the website and services only for lawful, authorized business purposes. You may not use them to violate law; infringe intellectual-property rights; distribute malware; probe or attack systems; interfere with service; evade security; transmit unlawful, deceptive, threatening, defamatory, obscene, or discriminatory material; impersonate another person; misrepresent a product; collect card data through an unapproved channel; facilitate fraud, money laundering, sanctions evasion, terrorist financing, trafficking, exploitation, or illegal gambling; sell restricted goods; process for an undisclosed business; or attempt to avoid a partner’s decision.
Prohibited or restricted activities may include unlawful goods or services, controlled substances, weapons, adult services, deceptive financial products, unlicensed regulated services, counterfeit goods, pyramid or Ponzi schemes, transactions with sanctioned parties, high-risk activities not disclosed during onboarding, and activities prohibited by a payment network or acquiring partner. This list is illustrative, not exhaustive. A partner may apply stricter rules, and MatosPay may refuse or restrict an activity based on a reasonable compliance or risk assessment.
10. Intellectual property
MatosPay and its licensors own the website, software, design, text, graphics, trademarks, logos, selection and arrangement of content, documentation, and other materials, except for third-party materials and merchant content. Subject to these Terms, MatosPay grants you a limited, revocable, non-exclusive, non-transferable license to access and use the materials for your internal business evaluation or authorized use of the service. You may not copy, modify, resell, frame, mirror, scrape, publish, reverse engineer, create derivative works from, or remove proprietary notices from the materials except where applicable law cannot be excluded.
“MatosPay,” related names, marks, logos, and trade dress may not be used in advertising, domain names, social profiles, customer communications, or public statements without written permission. You may use approved marks only according to brand guidelines and only while your permission remains active.
11. Merchant content and feedback
You retain ownership of content you submit, but you grant MatosPay and its service providers a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, format, display, analyze, and use that content as reasonably necessary to provide, secure, support, improve, and document the services, comply with law, resolve disputes, and enforce the agreement. You represent that you have all rights and permissions needed for that use and that the content does not violate law or another person’s rights.
If you provide suggestions, ideas, or feedback, MatosPay may use them without restriction or compensation, provided that this does not transfer your confidential information. Do not submit confidential information through a feedback channel unless MatosPay has agreed to receive it.
12. Confidentiality
Each party may receive non-public information from the other. The receiving party will use reasonable care to protect confidential information and use it only for the relationship. Confidential information does not include information that is public without breach, already known without duty, independently developed, lawfully received from another source, or required to be disclosed by law. A party may disclose confidential information to employees, affiliates, advisers, vendors, processors, and financing or insurance partners who need it and are bound by confidentiality duties, and may disclose it under legal process after providing notice where legally permitted.
13. Disclaimers
To the fullest extent permitted by law, the website and services are provided “as is” and “as available.” MatosPay disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, and uninterrupted or error-free operation. MatosPay does not warrant that a merchant will be approved, achieve a particular approval rate, receive funding by a particular time, avoid disputes, improve revenue, satisfy a regulator, or obtain any particular business result.
MatosPay does not provide legal, tax, accounting, investment, lending, insurance, or financial advice through the website. You are responsible for obtaining qualified advice about your business, disclosures, taxes, customer contracts, privacy practices, licenses, permits, and regulatory obligations. Product descriptions, examples, and security statements must be read with the final contract and responsibility matrix.
14. Limitation of liability
To the fullest extent permitted by law, MatosPay and its affiliates, officers, directors, employees, agents, licensors, vendors, processors, and partners will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, data, goodwill, or business opportunity; customer claims; chargebacks; reserve holds; partner decisions; equipment failure; service interruption; unauthorized access caused by your environment; or costs of substitute services arising from or related to the website or services.
To the fullest extent permitted by law, the aggregate liability of MatosPay and the protected parties for claims arising from or related to the website or services will not exceed the fees paid or payable by you to MatosPay for the affected service during the six months before the event giving rise to the claim, or one hundred dollars if no fees were paid. This cap does not apply where a written agreement, applicable law, or a court finally determines that the limitation cannot be enforced. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply.
15. Indemnification
You will defend, indemnify, and hold harmless MatosPay and its affiliates, officers, directors, employees, agents, licensors, vendors, processors, partners, and advisers from claims, demands, investigations, losses, liabilities, damages, judgments, settlements, penalties, costs, and reasonable attorneys’ fees arising from or related to your business, products, services, advertising, customer relationship, content, data, use of the services, breach of these Terms or a separate agreement, violation of law or payment-network rules, negligence or misconduct, unauthorized transactions, chargebacks, privacy or security incident in your environment, or infringement of another person’s rights.
MatosPay will provide reasonably prompt notice of a covered claim and reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by MatosPay, imposes obligations on MatosPay, or restricts MatosPay’s rights without written consent. MatosPay may participate with counsel of its choice.
16. Suspension and termination
MatosPay may suspend, restrict, or terminate access immediately when reasonably necessary to protect security, prevent fraud, comply with law, respond to a partner or network requirement, address nonpayment, investigate risk, protect customers, or prevent harm. MatosPay may also terminate for material breach, inaccurate information, prohibited activity, insolvency, misuse, or failure to cooperate with a review. Where required by law or contract, MatosPay will provide notice and an opportunity to cure.
Termination does not eliminate amounts owed, chargeback or refund exposure, reserve obligations, confidentiality duties, indemnity obligations, intellectual-property restrictions, dispute provisions, liability limits, or other provisions intended to survive. After termination, you must stop using the service, return or disable equipment when required, remove integrations, protect retained records, and cooperate with final settlement and dispute handling.
17. Disputes, arbitration, and class procedures
The parties will first attempt in good faith to resolve a dispute through written notice and a business discussion.
If the dispute is not resolved, the parties may use the dispute process stated in the applicable merchant agreement. A court may enter temporary or injunctive relief to protect confidential information, intellectual property, security, payment-system integrity, or funds while a dispute is pending.
Nothing in these Terms prevents a person from contacting a regulator, filing a legally protected complaint, exercising a non-waivable privacy right, participating in a government investigation, or seeking relief that cannot lawfully be waived. Any final arbitration or forum clause must be presented clearly and separately where required.
18. Governing law and venue
Unless a signed merchant agreement states otherwise, the governing law is the law of the State of Georgia, without regard to conflict-of-law rules. The venue for court proceedings is the state or federal courts located in or serving Fulton County, Georgia, subject to applicable jurisdiction, venue, consumer-protection, arbitration, and mandatory-law requirements.
19. Electronic communications and notices
You consent to receive notices, agreements, statements, disclosures, records, and other communications electronically where permitted by law. You must maintain a current email address and monitor the account or contact channel you provide. Notices may be delivered through the website, account, email, dashboard, postal address, or another reasonable method. A notice is effective when sent or posted unless the applicable agreement or law requires a different time.
20. General provisions
You may not assign these Terms or a service relationship without MatosPay’s written consent, except that MatosPay may assign them to an affiliate, successor, purchaser, financing party, or entity involved in a corporate transaction. These Terms do not create a partnership, agency, fiduciary relationship, franchise, employment relationship, or joint venture. No failure to enforce a provision is a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary or severed while the remaining provisions continue. Headings are for convenience and do not change meaning. These Terms, together with incorporated documents, are the entire agreement for the subject matter and supersede prior website statements, but do not replace a signed service agreement.
